1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Thornfeld" refers to the business consulting practice operating from 9 Persiaran Multimedia, 63100 Cyberjaya, Selangor, Malaysia.
- "Client" refers to any individual or organisation that engages Thornfeld's consulting services under a signed agreement or letter of engagement.
- "Services" refers to the consulting services provided by Thornfeld, including Innovation Ecosystem Design, R&D Portfolio Guidance, and Technology Landscape Review.
- "Deliverables" refers to any written documents, reports, frameworks, maps, or other outputs produced by Thornfeld as part of an engagement.
- "Website" refers to the website operated by Thornfeld at thornfeld.info.
- "Engagement" refers to a specific, time-bound consulting project agreed between Thornfeld and a Client.
2. Use of This Website
By accessing this website, you agree to use it lawfully and in a manner consistent with these terms. You must not:
- Attempt to gain unauthorised access to any part of the website or its supporting infrastructure.
- Transmit any content that is unlawful, defamatory, or harmful through the website's contact forms.
- Reproduce, copy, or distribute any content from this website without prior written permission from Thornfeld.
- Use automated tools to scrape, index, or collect content from this website.
We reserve the right to suspend or terminate access to this website for any user who violates these conditions or uses the website in a manner that is harmful to others.
The information provided on this website is for general informational purposes only and does not constitute professional advice. Specific recommendations are only made within a formal engagement context.
3. Services
Thornfeld provides the following consulting services:
- Innovation Ecosystem Design — a structured engagement to help organisations design internal conditions for sustainable innovation. Duration: 5–6 weeks. Price: RM 3,400.
- R&D Portfolio Guidance — an external review of R&D portfolio balance, alignment, and resource allocation. Duration: 3–4 weeks. Price: RM 2,100.
- Technology Landscape Review — a structured scan of emerging technologies relevant to the Client's industry and strategic context. Duration: 3 weeks. Price: RM 1,500.
All service descriptions, durations, and prices stated on this website are indicative. Specific terms for each engagement are confirmed in writing prior to commencement. Prices are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless stated otherwise.
4. Engagement Terms
Each consulting engagement is governed by a separate letter of engagement or service agreement, which takes precedence over these general terms in the event of any inconsistency.
An engagement is considered confirmed when Thornfeld has received a signed agreement and, where applicable, the agreed advance payment. Work will not commence prior to this point.
The scope, deliverables, timeline, and fees for each engagement are defined in the engagement agreement. Any change to the scope of an engagement must be agreed in writing by both parties before the change is implemented. Scope changes may result in adjusted fees or timelines.
Thornfeld will provide reasonable progress updates during each engagement at agreed intervals. Final deliverables will be submitted in a format agreed at the outset of the engagement.
5. Payment
Payment terms are specified in each engagement agreement. General terms are as follows:
- A deposit of 50% of the total engagement fee is typically required before work commences.
- The remaining balance is due upon delivery of the final deliverable, unless otherwise agreed.
- Invoices are payable within 14 days of issue unless a different period is stated in the engagement agreement.
- Thornfeld reserves the right to suspend work on an engagement where an outstanding invoice has not been settled within the agreed payment period.
- Late payments may be subject to interest charges in accordance with applicable Malaysian law.
All fees are quoted in Malaysian Ringgit. Any applicable taxes, including SST where relevant, will be separately identified on invoices.
6. Intellectual Property
All intellectual property in the content of this website — including text, layout, design elements, and structural components — is owned by Thornfeld or its licensors. No content may be reproduced without prior written consent.
With respect to Deliverables produced during a consulting engagement:
- Upon full payment of all agreed fees, the Client receives a non-exclusive licence to use the Deliverables for internal business purposes.
- Thornfeld retains all underlying methodologies, frameworks, and tools used in producing Deliverables, and may apply these in future engagements with other clients.
- The Client may not reproduce, commercialise, or distribute Deliverables outside their organisation without Thornfeld's written consent.
Specific intellectual property arrangements may be varied by written agreement at the outset of an engagement.
7. Confidentiality
Both parties to an engagement agree to treat as confidential any non-public information received from the other party in connection with that engagement. This obligation applies during and after the engagement.
Thornfeld will not disclose Client information to third parties except as required by law or as necessary to engage specialist sub-contractors, in which case those parties are bound by equivalent confidentiality obligations.
Confidentiality agreements (NDAs) are available for Clients who require formal documentation of these obligations before any information exchange takes place.
8. Limitation of Liability
Thornfeld provides consulting advice and analysis based on information available at the time of the engagement. The quality and accuracy of Deliverables depends in part on the accuracy of information provided by the Client.
To the extent permitted by Malaysian law:
- Thornfeld's total liability to a Client in connection with any engagement is limited to the fees paid by the Client for that engagement.
- Thornfeld is not liable for indirect, consequential, or speculative losses arising from the use of or reliance on its Deliverables.
- Thornfeld does not warrant that its recommendations will produce specific commercial outcomes. Consulting advice is provided in good faith and based on available evidence; results depend on implementation decisions made by the Client.
9. Warranties and Representations
Thornfeld warrants that:
- Services will be performed with reasonable care and skill by appropriately experienced consultants.
- Deliverables will reflect the scope of work agreed in the engagement agreement.
- It has the right to enter into engagement agreements and provide the agreed services.
The Client warrants that:
- Information provided to Thornfeld in connection with an engagement is accurate and not misleading to the best of the Client's knowledge.
- The Client has the authority to enter into the engagement agreement on behalf of their organisation.
10. Termination
Either party may terminate an engagement by providing written notice, subject to the terms in the engagement agreement. General provisions are:
- If the Client terminates an engagement after work has commenced, fees are payable for work completed up to the date of termination notice.
- If Thornfeld terminates an engagement due to a material breach by the Client (including non-payment), outstanding fees remain due for work already performed.
- If Thornfeld terminates an engagement without cause, it will refund any advance payments relating to work not yet performed.
11. Indemnity
The Client agrees to indemnify and hold Thornfeld harmless against any claims, losses, or damages arising from the Client's misuse of Deliverables, provision of inaccurate information, or breach of these terms or the engagement agreement.
12. Governing Law and Disputes
These Terms and Conditions and all engagement agreements are governed by the laws of Malaysia. Any disputes arising from these terms or from an engagement shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Prior to commencing formal proceedings, the parties agree to attempt to resolve disputes through direct discussion in good faith.
13. Amendments
We may update these Terms and Conditions from time to time. When we do, the "Last updated" date at the top of this page will be revised. Continued use of this website or commencement of a new engagement following any update constitutes acceptance of the revised terms.
Terms governing an active engagement will not be changed unilaterally after an agreement has been signed, unless both parties agree to the change in writing.
